Terms of Service

The terms for using Rounds, a service for collecting feedback on PDF files. Written to be read once, after which you know where you stand.

Who provides the service

Rounds, available at rounds.page, is provided by Wojciech Olszewski, a sole trader registered in the Polish Central Registration and Information on Business (CEIDG), ul. Macieja Palacza 41/42, 60-242 Poznań, Polska, VAT ID 7792464798, REGON 367373107.

In these terms, “we” means the provider and “you” means the person using the service.

What Rounds does

Rounds does one thing: it collects feedback on successive versions of a PDF. You upload a file, the service splits it into pages and publishes it behind a link. Whoever receives that link marks a spot on the page and leaves a comment. When you upload the next version, the service compares pages and carries comments over to the pages they belong to.

Three words are used throughout with their ordinary meaning:

  • Document — one thing being agreed on, holding successive versions of the same file.
  • Round — a single uploaded version together with the comments raised against it.
  • Reviewer — someone who comments after receiving a link, without creating an account.

The service does not edit your files. It does not alter their content, does not apply corrections and does not hand back a file with annotations burned in — comments live alongside the file, not inside it.

Your account

Uploading requires an account, created with an email address and a password. We send a verification message to that address; until you confirm it you can create a document but cannot generate a sharing link. That restriction keeps the service from sending links on behalf of fictitious accounts.

You are responsible for keeping your password confidential and for what is done from your account. If you suspect someone else has access, change the password and write to us.

One account belongs to one person. You may delete your account at any time; deleting it removes your documents and files with it.

Reviewers — access without an account

A person you send a link to creates no account and sets no password. They give a name for their comments to be signed with, and the service remembers it in an encrypted cookie so they need not repeat it on the next visit.

This means whoever holds the link has access to the document. You can revoke a link at any time from the panel; a revoked link stops working immediately, including for people who already opened it.

You distribute the link yourself and are responsible for who you pass it to.

Plans, limits and payment

The service is available on a free plan and on paid plans. Current prices and limits — number of documents, number of rounds, storage space and retention period — are listed in the pricing section on the home page, which forms part of this agreement.

Prices are shown inclusive of tax: the amount in the pricing table is the amount you pay.

Payments are handled by Stripe. We use Stripe Managed Payments, under which Stripe is the seller of record, not us. This has three practical consequences: Stripe issues the invoice, Stripe accounts for sales tax, and any refund or dispute about the payment itself is handled with Stripe. The service agreement — what these terms describe — is between you and us.

We never store your card details. They never reach us.

A subscription renews automatically until you cancel it. Cancel from the billing panel; the plan then runs until the end of the period you have paid for.

Your files and your rights

The files you upload remain yours. We acquire no rights to them.

So that we can perform the service at all, you grant us a licence limited to exactly what the service does: storing the file, splitting it into pages, generating previews and thumbnails, comparing pages between versions, and showing them to people you give access to. The licence is free of charge, non-exclusive, and ends when the file is deleted.

We use your files for nothing beyond providing the service. In particular we do not train models on them, do not share them with third parties, and do not use them in marketing.

What you must not upload

By uploading a file you confirm you are entitled to do so — that the content is yours or you have permission from whoever holds the rights.

You must not upload content that:

  • infringes copyright, trade marks or personal rights,
  • is unlawful, including content that is criminal in nature,
  • contains malicious software,
  • you are under a confidentiality obligation not to disclose.

We do not review the content of uploaded files and do not check them for legality. If we receive a credible infringement report, however, we may block access to the document and will tell you why.

How long we keep files

A document in which nothing has happened for the period set by your plan — no new version, comment or reply — is deleted together with its files. The length of that period is stated in the pricing section.

Fourteen days before deletion we email the account address with a list of the documents affected. Opening a document resets the clock.

Deletion is permanent. We do not keep backups for the purpose of restoring deleted documents, so keep your source file yourself. Rounds is where things get agreed, not an archive.

Availability

We aim for uninterrupted service but do not guarantee a specific level of availability. Where planned maintenance is possible to announce in advance, we announce it.

We may change and develop the service. If a change materially reduces a feature you rely on under a paid plan, we will give at least thirty days' notice.

Liability

We are liable for failure to perform or improper performance of the service under the general rules of the Polish Civil Code.

We are not liable for the content of uploaded files, for comments left by reviewers, or for the consequences of a link being passed to someone who should not have it.

Towards those using the service in the course of business, our liability is limited to the fees paid in the twelve months preceding the event and excludes lost profits. This limit does not apply to damage caused intentionally, nor where limiting liability is not permitted by law.

The limit above does not apply to consumers, nor to individuals entering into an agreement directly connected with their business where the agreement is not of a professional character for them.

Cancellation and downgrade

You may terminate at any time without giving a reason, by cancelling the subscription or deleting the account.

When a paid plan expires, the account returns to the free plan. We do not delete the documents that no longer fit. They become read-only: you can still read them and download the files, but cannot add a new round until you are back within the plan's limits or resume the subscription. Deleting someone's work over a missed payment would be exactly what this product exists to prevent.

One thing to watch: the free plan has a shorter retention period. Documents that exceed the new period after a downgrade first receive the fourteen-day warning — they do not disappear overnight.

We may terminate on thirty days' notice, or immediately in the event of a gross breach of these terms, stating the reason.

Complaints

Send complaints to app@rounds.page, describing the issue and what you expect.

If you prefer to write by post, send it to the address for service: ul. Saperska 32B/40, 61-493 Poznań, Polska.

We respond within fourteen days of receipt.

Complaints about the payment itself — a charge, an invoice, a refund — go to Stripe as the seller. If you are not sure who to write to, write to us and we will point you.

Right of withdrawal

If you are a consumer, you have the right to withdraw from a distance contract within fourteen days without giving a reason.

Because Stripe is the seller, withdrawal is submitted to Stripe — most easily through the order-management link in your purchase confirmation. Write to us at the same time so we can adjust the account straight away.

Starting to use a paid plan before that period ends — that is, uploading beyond the free plan's limits — constitutes a request to begin performance before the withdrawal period expires. In that case you pay for the part of the service performed up to withdrawal.

Changes to these terms

We may change these terms for valid reasons: a change in the law, a change in the scope of the service, or a change in how it is billed.

We will email the account address at least fourteen days before a change takes effect. If you do not accept the new version, you may terminate with immediate effect before that date.

The date of the last change appears at the top of this document.

Governing law

These terms are governed by Polish law. This choice does not deprive a consumer of the protection of mandatory provisions of the law of their country of habitual residence.

Disputes with businesses are settled by the court with jurisdiction over our registered office. Disputes with consumers are settled under the general rules of jurisdiction.

Consumers may also use out-of-court complaint procedures, including the assistance of a consumer ombudsman and the EU online dispute resolution platform.
